AI Liability Shields: Why Transparency Without Accountability Is Not Enough

AI companies do not just want to build the future. They also want to shape the rules that decide who is responsible when that future goes wrong.

That is the uncomfortable reality behind the growing debate around Illinois SB 3444, a proposed AI liability bill that has exposed a sharp divide between OpenAI and Anthropic.

According to Wired, OpenAI has backed the bill, while Anthropic has opposed it. The core issue is not simply whether AI companies should publish safety reports. The real question is whether publishing those reports should help protect frontier AI developers from liability if their systems are used to cause catastrophic harm.

That distinction matters, because transparency is important.

Unfortunately transparency without accountability can become paperwork, and paperwork does not protect the public.

It is about the future of trust in AI.

What Is Illinois SB 3444?

Illinois SB 3444, titled the Artificial Intelligence Safety Act, focuses on large frontier AI models.

The bill defines a frontier model as an AI model trained using more than 10²⁶ computational operations, or one with compute costs exceeding $100 million.

It also defines critical harm as death or serious injury to 100 or more people, or at least $1 billion in property damage caused or materially enabled by a frontier model.

The bill also includes scenarios involving chemical, biological, radiological, or nuclear weapons, as well as autonomous conduct that would constitute serious criminal behavior if committed by a human.

At first glance, this sounds like serious AI safety legislation, and to be fair, parts of it do focus on important safety concepts.

The bill requires developers to publish safety and security protocols, transparency reports, testing procedures, risk thresholds, mitigation strategies, cybersecurity practices, and monitoring processes. It also references model weight security and the use of third parties to assess risk or mitigation effectiveness.

Those are all important areas, but the controversial part is not the transparency requirement.

The controversial part is the liability shield.

The Liability Shield Problem

SB 3444 states that a developer of a frontier AI model shall not be held liable for critical harms if the developer did not intentionally or recklessly cause the harm and published the required safety and transparency materials.

That is where the bill becomes difficult to support without serious concern, because the law appears to create a path where a company can say:

“We published our safety protocol.”

“We published our transparency report.”

“We did not intentionally or recklessly cause the harm.”

Therefore, we should not be liable.

That is a very big deal.

In cybersecurity terms, this would be like saying a company should avoid responsibility for a major breach because it had a security policy uploaded to its website.

That is not how real security works.

A policy does not secure a system.

A risk register does not contain an incident.

A PDF does not stop an attacker.

A compliance statement does not prove operational maturity.

The same logic applies to AI.

An AI safety report may be useful, but it should not automatically become a legal shield against catastrophic failure.

Why Anthropic Opposes The Bill

Anthropic has opposed SB 3444, arguing that good transparency legislation should ensure public safety and accountability rather than provide broad protection from liability. Wired reported that Anthropic is lobbying for major changes to the bill or for it not to move forward in its current form.

That position is important because Anthropic is not arguing against AI regulation, but arguing against weak regulation.

There is a big difference.

Anthropic reportedly supports a separate Illinois bill, SB 3261. That bill takes a more governance heavy approach by requiring public safety and child protection plans, safety incident reporting, whistleblower protections, third party audits, and civil penalties.

SB 3261 also requires large frontier developers to implement safeguards against unreasonable catastrophic risk and publish summaries of risk assessments, results, third party evaluator involvement, and steps taken to address those risks.

That sounds much closer to what mature governance should look like.

Not perfect or simple but closer, since real governance is not just about publishing a document.

It is about proving that controls exist, that they work, that they are reviewed, and that consequences exist when they fail.

Why OpenAI May Support SB 3444

OpenAI’s argument, according to Wired, is that SB 3444 focuses on reducing the risk of serious harm from advanced AI systems while still allowing the technology to reach people and businesses. OpenAI has also argued for avoiding a patchwork of inconsistent state level rules and moving toward clearer national standards.

That concern is not completely unreasonable.

A messy landscape of state by state AI laws could create complexity for developers, businesses, auditors, insurers, and regulators.

National consistency would be useful, but consistency should not mean weaker accountability.

Regulatory clarity is good, but escape routes are not.

There is a major difference between saying:

“We need a clear framework.”

And saying:

“We need a framework that reduces our liability when catastrophic harm occurs.”

That is where the public should pay attention.

Transparency Is Not Accountability

This debate comes down to one simple distinction.

That makes it infrastructure.

And infrastructure needs accountability.

“Did the company publish a report?”

The correct question is:

“Did the company take reasonable, testable, and effective steps to reduce foreseeable harm?”

That is a much higher bar.

It is also the bar that serious technology should be expected to meet.

NIST describes the AI RMF as a voluntary framework intended to improve how organizations incorporate trustworthiness considerations into AI systems.

That kind of lifecycle thinking is what AI regulation needs, not just disclosure, promises but actual governance.

The right answer is not to crush AI innovation with impossible regulation.

Innovation matters.

AI can improve productivity, accessibility, security, research, automation, and business operations, but powerful technology needs powerful accountability.

A better AI liability and safety framework should include the following.

1. Mandatory Safety Documentation

Frontier AI developers should publish meaningful safety frameworks, model cards, system cards, and risk summaries, but those documents should support accountability, not replace it.

2. Independent Testing

Self assessment is not enough for high risk AI systems.

Independent technical review should be part of the process, especially for frontier models with potential public safety implications.

3. Incident Reporting

Serious AI safety incidents should be reported quickly to the appropriate authorities.

Incident reporting is not optional in mature cybersecurity, and should not be optional in mature AI governance either.

4. Whistleblower Protection

Employees inside AI companies may see risks before customers, regulators, or the public do.

They need safe reporting channels, and protection from retaliation.

5. Proportionate Liability

AI companies should not be automatically blamed for every misuse of their tools, but they also should not be automatically protected when foreseeable risks were ignored, poorly mitigated, or hidden behind vague safety language.

6. Strong Cybersecurity Controls

Model weights, internal tooling, training infrastructure, deployment pipelines, identity controls, and monitoring systems must be treated as critical assets.

If an AI model is powerful enough to create public risk, then its security posture must be treated seriously.

7. Real Consequences For False Claims

If a company publishes a safety report that is misleading, incomplete, or disconnected from operational reality, there should be consequences, otherwise, transparency becomes theater.

Where This Fits In The Bigger AI Race

The AI industry often frames regulation as a threat to innovation, but that framing is too simplistic.

The real threat is not responsible regulation. The real threat is public loss of trust. If people believe AI companies are asking for power without responsibility, resistance will grow. If businesses believe AI vendors are shifting risk onto customers, adoption will become more cautious.

If governments believe frontier AI systems could create catastrophic harm without clear accountability, regulation will become more aggressive.

This is why the AI race cannot only be about speed. The winner of the AI race may not be the one that moves fastest. It may be the one that builds trust best.
